At Magik Designs, we maintain clear and fair standards regarding the ownership, usage, and protection of intellectual property created during our services. This policy ensures transparency while safeguarding both client interests and our internal processes.
1. Ownership of Final Deliverables
Upon full payment clearance, the client is granted ownership rights to the final, approved deliverables, including:
- Print-ready files (PDFs and approved export formats)
- Finalized layouts prepared for production
- Completed artwork created specifically for the client
These deliverables may be used for the client’s intended commercial, marketing, and operational purposes.
2. Ownership of Working & Source Files
Unless explicitly agreed otherwise in writing:
- All working and source files remain the intellectual property of Magik Designs
This includes:
- Editable files (AI, PSD, INDD, EPS, etc.)
- Drafts, iterations, and unused concepts
- Pre-press setup files and production builds
- Internal templates, tools, and workflows
Source files are not included by default and may be:
- Provided under specific service plans, or
- Released at an additional cost if requested
3. Rights Transfer Conditioned on Payment
All intellectual property rights are strictly tied to payment status:
- No rights are transferred until full payment is received
- Until then, all work remains the property of Magik Designs
Clients are not permitted to use, share, reproduce, or distribute:
- Unpaid work
- Draft versions
- Final deliverables prior to payment clearance
Unauthorized use will be considered a violation of this agreement.
4. Usage Rights After Delivery
Once payment is completed and final files are delivered:
- Clients may freely use the final deliverables for their business needs
- This includes reproduction, printing, publishing, and distribution
However:
- Ownership is limited to the final approved files only
- Clients do not gain rights to internal working files, systems, or design methods
- Resale or redistribution of source files is not permitted unless explicitly agreed
5. Third-Party Assets & Licensing
Projects may include third-party elements such as:
- Fonts
- Stock images
- Licensed graphics or assets
In such cases:
- Ownership remains with the original creator or licensing provider
- Usage is subject to their individual license terms
Magik Designs is not responsible for any misuse beyond the agreed scope of usage.
6. Portfolio & Promotional Rights
Magik Designs retains the right to:
- Showcase completed work in portfolios
- Use project outputs for marketing and promotional purposes
This may include:
- Website displays
- Social media posts
- Case studies and presentations
Clients requiring confidentiality or non-disclosure must communicate this in writing before the partnership begins.
7. Protection of Intellectual Property
All materials created by Magik Designs are protected under applicable intellectual property laws.
Clients agree not to:
- Replicate or reverse-engineer internal design systems or workflows
- Share or distribute working files without authorization
- Use unpaid, rejected, or unused concepts
Any misuse may result in:
- Immediate service termination
- Additional usage charges
- Legal action where necessary
8. Client Responsibility
Clients are responsible for ensuring that:
- All materials they provide (logos, images, text, etc.) are legally owned or licensed
- Proper permissions are obtained for third-party content used outside our scope
Magik Designs is not liable for IP violations related to client-provided assets.
9. Custom Agreements & Exceptions
Any variations to this policy, including:
- Full ownership transfer of source files
- Exclusive rights agreements
- Custom licensing terms
Must be clearly defined and agreed upon in writing prior to delivery.
10. Policy Acceptance
By engaging with Magik Designs, clients acknowledge and agree to this Intellectual Property Ownership & Protection Policy.
